Our Terms of Service and the Quagensia Desktop Application End-User License Agreement (EULA) have changed.
The new Terms of Service are effective immediately for new users and effective 30 days from April 25, 2024 for current users. The new Quagensia Desktop Application End-User License Agreement (EULA) will be included in one of the required steps of the installer of the next version of Quagensia N & T Edition.
The changes to these agreements follow:
Changes were made specifically to account for the fact that going forward, free trials of the Quagensia Desktop Application are now demoware that have highly limited functionality, including lack of ability to open many strategies exclusively reserved for paid users, when compared to the functionality of the Quagensia Desktop Application when used with a valid paid license.
The mode in which the Software operates when a free trial expires and the user has not paid for a license has changed from “Read-Only Mode” to “Locked Mode”. Additional changes were made specifically to account for the fact that new versions of the Quagensia Desktop Application do not allow such users without a valid license of any kind to open Quagensia Algos, generate their code, send their code to a trading platform, or do much else of any value from within the software. Going forward, the Quagensia Desktop Application will essentially be completely locked for users who neither have a valid free trial whose end date has not passed nor a valid paid license whose subscription term’s end date has not passed.
Provisions were made to account for the fact that Quagensia Algos may be marked as being paid-only content exclusively for paid license holders, including additional terms and conditions for Quagensia Desktop Applications that apply to Quagensia Algos marked as such.
A change was made to the “Definitions and Background Information” section’s point that starts with “Quagensia-supplied license key” to add a third way in which one can obtain a “Quagensia-supplied license key”, which is described in point number 3 in the following excerpt:
“Quagensia-supplied license key” refers to the alphanumeric key that is provided by Quagensia 1) when you purchase a license for a subscription to use the Software on one or more physical machines, 2) when you request a cost-free switch between editions for subscription plans that support cost-free switching (and if you have more cost-free edition switches remaining for your purchased license), or 3) when an official representative of the Company provides one to you for any other reason, and which you can use to Activate the Software.
The “Definitions and Background Information” section’s point that starts with “Paid Subscription Mode” was changed to add all the information after the first sentence in the following excerpt from the EULA. Note that the same changes were made to the Terms of Service with the exception that the phrase “this Agreement” is “this Agreement or the Software’s EULA” in the Terms of Service:
“Paid Subscription Mode” is the mode in which an installed instance of the Software operates when the Quagensia Desktop Application has been Activated on a given physical machine using a Quagensia-supplied license key. The particular features of the Quagensia Desktop Application that can be used in “Paid Subscription Mode” depend on the level of features configured for the Quagensia-supplied license key used. For instance, an official representative of the Company may provide someone who has a popular social media channel with a temporary Quagensia-supplied license key that allows them to use the Software in a feature-restricted version of “Paid Subscription Mode” so they can demonstrate certain features of the Software to their followers that are not available in “Time-Limited Free Trial Mode” without providing them with the ability to use all of the features of the Quagensia Desktop Application. In the case that a Quagensia-supplied license key was provided by an official representative of the Company to you, you are permitted to use the Software in “Paid Subscription Mode”, whether feature-restricted or not, using that Quagensia-supplied license key until the End Date of the “Subscription Term” provided by the Quagensia-supplied license key, regardless of any language in this Agreement that refers to limitations on those who have not paid for a valid paid license for a subscription to the Software.
The following additional terms and conditions were added to the list of things that users who agree to the EULA or Terms of Service agree that they will not do:
- Distribute or link to the plain text code output of any Quagensia Strategy file without also linking to the Quagensia Strategy file, with the exception of posting the plain text code output of a Quagensia Strategy file to a forum or other location that allows uploading of the plain text code output but not Quagensia Strategy files such as may be the case with technical support forums with restrictions on the file extensions of files that can be uploaded as part of a forum post;
- Distribute or link to any files that hide or obfuscate the plain text code output of any Quagensia Strategy file including but not limited to a “.dll” file containing a compiled version of the code output;
- Share the automated output from using a Quagensia Strategy’s outputted code, including but not limited to real-time trading signals or outputted data files, in an automated manner that could be used to make automated trading decisions without human intervention with anyone who has not installed the Software and agreed to the Software’s EULA;
Significant changes were made to the “Support” sections of both the Terms of Service and the EULA. As of April 25, 2024, the “Support” section of the Terms of Service is section number 8 and titled “8. Support”, and the “Support” section of the EULA is section number 9 and titled “9. Support”.
