This Privacy Policy (“Privacy Policy”) explains the collection, use, and disclosure of “personal information” by Quagensia, Inc., an Illinois Chapter S Corporation.

Unless otherwise noted on a particular website or service, this Privacy Policy applies to your use of all websites that Quagensia, Inc. operates, including https://www.quagensia.com and all subdomains of quagensia.com (collectively, the “Websites”), as well as our support forums, the emails we send, and the products, information, and services provided through the websites, including all Quagensia Desktop Applications (together with the Websites, the “Services”). This Privacy Policy also applies to all communications you have with us over phone, email, chat, or other medium.

As used in this policy, “personal information” means information that would allow a party to identify you such as, for example, your name, address or location, telephone number, or email address.

By accessing or using any of the Services, you are accepting and agreeing to the practices described in this Privacy Policy.

Who We Are and What This Policy Covers

Hello. We are the company behind the Quagensia Desktop Applications and Quagensia.com that together are designed to allow traders and investors to create algorithmic trading strategies without any programming knowledge.

This Privacy Policy applies to information that we collect about you when you communicate with us over phone, email, chat, or other medium, and when you use or otherwise interact with:

  • Our websites (such as Quagensia.com); and
  • Our support forums; and
  • The emails we send; and
  • Our desktop applications (such as Quagensia N Edition and Quagensia T Edition);

Throughout this Privacy Policy we’ll refer to our websites and desktop applications collectively as “Services.”

Below we explain how we collect, use, and share information about you, along with the choices that you have with respect to that information.

Information We Collect

We only collect information about you if we have a reason to do so. For example, to provide our Services, to communicate with you, or to make our Services better.

We collect information in two ways: if and when you provide information to us and automatically through operating our Services. Let’s go over the information that we collect.

Information You Provide to Us

It’s probably no surprise that we collect information that you provide to us. The amount and type of information depends on the context and how we use the information. Here are some examples:

  • Transaction and Billing Information and Information About Purchased Licenses for Subscriptions to Quagensia Desktop Applications: We sell licenses for subscriptions to our desktop applications, such as Quagensia N Edition and Quagensia T Edition, on our online store that is hosted by FastSpring, Inc. and which can be accessed from pages at https://www.quagensia.com. If you purchase or manually renew a license for a subscription from our FastSpring store, you will provide additional personal and payment information that is required to process the transaction and your payment and create and provide you with your license(s). Examples of this information include your name, credit card information, and contact information. This information, as well as information about the licenses for the subscription(s) you purchased, is processed and stored by FastSpring, Inc., and some of the information, with the major exceptions being your full credit card number, credit card expiration date, and credit card CV2 code, is also transmitted to and stored by our software license system provider, wyDay, Inc., which enables wyDay’s LimeLM licensing system, which includes wyDay’s “LimeLM TurboActivate” software licensing component that is built into every edition of Quagensia, to determine the type of license and the license status of a given installation of one of our Quagensia Desktop Applications on a given computer, which in turn determines what you are allowed to do with the application and what messages we should show you about your current license status such as the date that the license for your free trial or paid subscription is set to expire, and to allow you to interact with the licensing system such as entering a valid license key for a paid subscription, and moving the license key between computers. The reason we store some of your personal information that you entered on our FastSpring store in our wyDay account at wyDay.com is because it allows us to quickly look up your license information based on your name, email address, other personal contact information, or other details about your license such as the purchase date, when you contact us with questions or requests regarding your license. We neither explicitly transmit nor explicitly store your full credit card number, credit card expiration date, or credit card CV2 code anywhere. It is FastSpring, Inc. that processes this information. The personal information you enter when purchasing something at our FastSpring store, with the exception of your full credit card number, credit card expiration date, and credit card CV2 number, may also be stored by Quagensia, Inc. All the license keys that are automatically generated by our software license provider, wyDay, when you purchase a new license for a subscription from our FastSpring store, are also sent back to FastSpring and stored at FastSpring, Inc. as well. The personal information that you type into our FastSpring store when you purchase a license for one of our subscriptions, as well as the license information and personal information stored in our wyDay account, with the notable exceptions being your full credit card number, credit card expiration date, and credit card CV2 number, is also visible by authorized Quagensia employees. When you manually renew a license for a subscription from our FastSpring store, or if a previously purchased license for a subscription is set to “auto-renew” and our FastSpring store auto-renews your license for your subscription, any updated personal information, such as a change in your first name, last name, or email address as entered in your FastSpring transaction or account, and with the exception of your full credit card number, credit card expiration date, and credit card CV2 number, will also be transmitted and stored in our wyDay account to give us further ways to look up your license key based on your updated personal information at the time of the license renewal when you request our help with a licensing issue.
  • Communications with Us: You may also provide us information when you respond to surveys, communicate with us via phone, email, mail, chat, or other communication method about a pre-sales, sales, billing, or technical support question, post a question in our public forums, communicate with us on social media, or sign up to receive emails from us such as our email newsletter. When you communicate with us via form, email, phone, public forum comment, social media, or otherwise, we usually store a copy of our communications (potentially including any call recordings as permitted by applicable law). This information is not just stored by Quagensia, but also by the companies that we use for our communications. For instance, we use Microsoft’s Office 365 for all emails that are sent to or from a quagensia.com email address, and Google’s gmail email accounts for communications sent to or from Google’s platforms, such as YouTube, if the communication is not sent to a quagensia.com email address. When you sign up to receive emails from us such as our email newsletter, either by entering your information yourself or by explicitly giving us permission to sign you up for emails from us in person, on the phone, via email, or in any other way that you may explicitly request to be signed up for emails from us, you provide us with your email address and may also provide us with your name and preferences for the types of emails, frequency of emails, or other information. When you request to be signed up for our emails, the information is stored not just by Quagensia, Inc. but is also stored by ActiveCampaign, the third-party email marketing platform we use to send email newsletters and other types of mass emails.

Information We Collect Automatically

We also collect some information automatically:

  • Log Information: Like most websites, when you browse one of our websites or download a file from one of our websites, we collect information that web browsers, mobile devices, and servers typically make available, such as the browser type, IP address, unique device identifiers, language preference, referring website, the date and time of access, operating system, and mobile network information. We use this information to, for example, provide our websites to you, as well as get insights on how people use our websites, so we can make our websites better. Note that our websites are hosted by Liquid Web, LLC, so this log information is stored on LiquidWeb, Inc.’s servers as well.
  • Quagensia Desktop Application Usage Information for licensing purposes (This information does NOT include any of your proprietary algorithms nor does it include any of the actions that you take while you are building your algorithms.): We automatically collect very general, non-proprietary information about your usage of our Quagensia Desktop Applications for licensing purposes only, using the wyDay LimeLM licensing system from wyDay, Inc. , which includes wyDay’s “LimeLM TurboActivate” software licensing component that is built into every edition of Quagensia, to determine the type of license and the license status of a given installation of one of our Quagensia Desktop Applications on a given computer, which in turn determines what you are allowed to do with the application and what messages we should show you about your current license status such as the date that the license for your free trial or paid subscription is set to expire, and to allow you to interact with the licensing system such as entering a valid license key for a paid subscription, and moving the license key between computers. WyDay’s “LimeLM TurboActivate” software licensing component, which is built into all Quagensia Desktop Applications, communicates both with the Quagensia Desktop Application into which it is built as well as with the wyDay.com licensing server to accomplish these things, and we are able to log into our wyDay.com account and see the current status of all free trials and licenses for paid subscriptions. For example, when you open any Quagensia Desktop Application, activate or deactivate a license for a paid subscription of any Quagensia Desktop Application, or leave a Quagensia Desktop Application open for a certain amount of time, regardless of whether you are using a free trial (which could be either a beta edition of a Quagensia Desktop Application or a free trial for a paid edition of a Quagensia Desktop Application), an activated copy which you activated by entering a valid license for a paid subscription to a specific Quagensia Desktop Application, or an installation of the Quagensia Desktop Application that is not a valid free trial or activated license for a paid subscription, data about your machine, operating system (example: Windows 10 (1803), build 17134.753 (64-bit)), IP address, and estimated rough location in the world (including city, state or province, and postal code, for example “United States, Champaign, Illinois, 61821”), is transmitted from your open Quagensia Desktop Application to the wyDay license servers and is stored on wyDay’s license servers. We also use this information to help you when you contact us with questions or requests regarding your free trial or license for your paid subscription. We explicitly have no access to your proprietary Quagensia Strategies, Quagensia Functions, and their generated code, nor do the Quagensia Desktop Applications transmit or store these files anywhere other than the locations in which you choose to save, move, export, or back up your Quagensia Strategy files, Quagensia Function files, and their generated code, such as on a hard drive on your computer, a location on your network, or a location on a cloud drive to which you attempt to save a file. We also explicitly have no access to nor transmit information about the specific work you are doing when opening, saving, editing, or generating the code for your Quagensia Strategies and Quagensia Functions, including which application features you are using. Quagensia Desktop Applications are not cloud services and have no cloud storage capabilities built into the application. When you use a Quagensia Desktop Application, your secret, proprietary Quagensia Algorithms and their generated code remain secret and private to you and whomever you explicitly choose to share them with. You can even use Quagensia without an internet connection for a while, until the wyDay “LimeLM TurboActivate” software licensing component built into your installation of your Quagensia Desktop Application needs to contact the wyDay LimeLM license servers to again determine the type of license and the license status of your specific installation of your specific Quagensia Desktop Application on your computer.
  • Your Usage of Our Emails and Website: When you fill out forms on our website such as the form users fill out to subscribe to our email newsletter, or interact with the emails that we send you from our third-party email marketing platform, such as opening an email or clicking on a link in the email, these interactions are recorded by our third-party email marketing platform and visible to us. We use this information for multiple purposes, including helping us predict the kinds of emails each of our email newsletter subscribers would be most interested in receiving and periodically determining which of our email newsletter subscribers have stopped interacting with our emails so that we can unsubscribe them from certain email lists such as our email newsletter list.
  • Information to Determine if You are a “Bot” or a Real Person: We use the reCAPTCHA service from Google to protect our online forms from being submitted by automated robots, or “bots”. The reCAPTCHA service automatically collects your hardware and software information and sends this information to Google for analysis.
  • Location Information: We and some of our third-party processors record and use your IP address, which can in most cases for most users be used to determine the approximate geographic location of your computer. For example, as described above, when you use a Quagensia Desktop Application, our licensing component attempts to determine the approximate location of your computer from your IP address. We collect and use this information to, for example, calculate the number of free trials and licenses for paid subscriptions we are getting from each geographic region. Also, as described above in the “Log Information” section, our websites’ logs include information like IP address. Also, our email marketing service provider, ActiveCampaign, uses your IP address for things such as helping us determine the countries in the world where our email newsletter is most popular and helping us segment our marketing emails to send different emails and send those emails at different times of the day based on each of our email subscriber’s approximate geographic locations as determined by their IP addresses. Also, the reCAPTCHA service from Google, which is described above, uses your IP address.
  • Stored Information: Quagensia Desktop Applications have access to information, such as files and folders, on your machine. The only files and folders that a Quagensia Desktop Application will access are those that it needs to access in order to allow its use. Examples of files and folders that a Quagensia Desktop Application will access include those that were installed when you installed the Quagensia Desktop Application, the folder and contents of the folder from which Quagensia is configured to load Quagensia files, the folder and contents of the folder from which Quagensia is configured to back up Quagensia files, Quagensia Strategy files and Quagensia Function files that are in an arbitrary folder that you explicitly asked Quagensia to open or save, and, if Quagensia is configured to copy the generated code of Quagensia Strategies to either a trading platform’s folder that holds its trading strategy code or another folder, Quagensia will copy the generated code of Quagensia Strategies to either the trading platform’s folder that holds its trading strategy code or another folder if you press a button, toolbar button, menu item, or other element in the Quagensia Desktop Application’s user interface that explicitly instructs Quagensia to copy a file either to the trading platform’s folder that holds its trading strategy code or to another folder. As described above in a previous section, no employee at Quagensia has access to any of these folders or files. Only the user of the application and the application itself have access to these folders and files. Our third-party licensing system, i.e. the wyDay LimeLM software licensing system, which is described in detail above, stores information about your computer and the type and status of your license both on your computer and on the license server as well, for reasons described in detail above.
  • Information from Cookies & Other Technologies: A cookie is a string of information that a website stores on a visitor’s computer, and that the visitor’s browser provides to the website each time the visitor returns. Pixel tags (also called web beacons) are transparent images or small blocks of code placed on websites and in emails. Quagensia uses cookies and other tracking technologies like pixel tags to help us identify and track visitors, usage, and access preferences for our Services, as well as track and understand email campaign effectiveness and to deliver targeted ads and targeted emails. How and Why We Use Information

Purposes for Using Information

We use information about you as mentioned above and for the purposes listed below:

  • To provide our Services – for example, to make our websites function properly, to make our Quagensia Desktop Applications function properly, to allow you to purchase licenses for subscriptions to our Quagensia Desktop Applications on our FastSpring store and set up and maintain your FastSpring account and associated information on our wyDay LimeLM software licensing system’s license server so we can ensure that you can use the licenses for the paid subscriptions that you paid for on our FastSpring store, and to protect our financial interests by ensuring that only valid free trial users and users with valid licenses for paid subscriptions are able to use certain features of the Quagensia Desktop Applications;
  • To further develop and improve our Services – for example, by adding new features to our websites, social media channels, email newsletters, or Quagensia Desktop Applications that we think will benefit our users;
  • To monitor and analyze trends and better understand how users interact with our Services, which helps us improve our Services and make them easier to use;
  • To measure, gauge, and improve the effectiveness of our advertising, and better understand user retention and attrition — for example, we may analyze how many individuals purchased a license for a paid subscription to a Quagensia Desktop Application after receiving a marketing message;
  • To monitor and prevent any problems with our Services, protect the security of our Services, detect and prevent fraudulent transactions and other illegal activities, fight spam, and protect the rights and property of Quagensia and others, which may result in our declining a transaction or the use of our Services;
  • To communicate with you, for example through our email newsletter (which you can unsubscribe from at any time), about offers and promotions offered by Quagensia and others we think will be of interest to you, solicit your feedback, or keep you up to date on Quagensia and our products; and
  • To personalize your experience using our Services, provide content recommendations, target our marketing messages to groups of our users (for example, those who have a license for a subscription to a particular Quagensia Desktop Application or have been using a particular Quagensia Desktop Application for a certain length of time), determine which of our email newsletter subscribers have stopped interacting with our emails so that we can unsubscribe them from certain email lists such as our email newsletter list, and serve relevant advertisements.

Sharing Information

How We Share Information

We do not sell our users’ personal information.

We share information about you in the limited circumstances spelled out below and with appropriate safeguards on your privacy:

  • Employees: We may disclose information about you to our employees who need to know the information. We require our employees to follow this Privacy Policy for personal information that we share with them.
  • Third-Party Vendors: We may share information about you with third-party vendors who need to know information about you in order to provide their services to us, or to provide their services to you. This group includes vendors that help us provide our Services to you (like payment processors, fraud prevention services that allow us to analyze fraudulent payment transactions, postal and email delivery services that help us stay in touch with you, customer chat and email support services that help us communicate with you, those that assist us with our marketing efforts (e.g. by providing tools for identifying a specific marketing target group or improving our marketing campaigns), and those that help us understand and enhance our Services (like analytics providers). Some of these third-party vendors are mentioned in this Privacy Policy. Other third-party vendors are listed in our Cookie Policy.
  • Legal and Regulatory Requirements: We may disclose information about you in response to a subpoena, court order, or other governmental request.
  • To Protect Rights, Property, and Others: We may disclose information about you when we believe in good faith that disclosure is reasonably necessary to protect the property or rights of Quagensia, third parties, or the public at large. For example, if we have a good faith belief that there is an imminent danger of death or serious physical injury, we may disclose information related to the emergency without delay. We may disclose information to investigate, prevent, or take action regarding illegal activities, suspected fraud, situations involving potential threats to the physical safety of any person, violations of our Terms of Service, or as otherwise required by law.
  • Business Transfers: In connection with any merger, reorganization, spin-off, sale of company assets, acquisition of all or a portion of our business by another company, or similar transaction, or in the unlikely event that Quagensia, Inc. were to go out of business or enter bankruptcy, user information would likely be one of the assets that is transferred or acquired by a third party. Upon such transfer, the third party’s privacy policy will apply. If any of these events were to happen, we will notify you by placing a prominent notice on our websites (such as adding a statement to our homepage or the Quagensia Blog), or by sending you a notification through email. Your further use of the Services after said transfer will be subject to the third party’s privacy policy.
  • With Your Consent: We may share and disclose information with your consent or at your direction. For example, we may share your information with third parties with which you authorize us to do so.
  • Aggregated or De-Identified Information: We may share information that has been aggregated or reasonably de-identified, so that the information could not reasonably be used to identify you. For instance, we may publish aggregate statistics about the use of our Services and we may share a hashed version of your email address to facilitate customized ad campaigns on other platforms.
  • Published Support Requests: If you send us a request (for example, via a support email or one of our feedback mechanisms), we reserve the right to publish that request in order to help us clarify or respond to your request or to help us support other users.

Information Shared Publicly

Information that you choose to make public is – you guessed it – disclosed publicly.

Public information may also be indexed by search engines or used by third parties.

Please keep all of this in mind when deciding what you would like to share.

Security

While no service, website, or desktop application is 100% secure, we work very hard to protect information about you against unauthorized access, use, alteration, or destruction, and take reasonable measures to do so. One major way we protect your data is by not storing your proprietary Quagensia Strategy files, Quagensia Function files, or their generated code on our servers as described in detail in the sections above.

Choices

You have several choices available when it comes to information about you:

  • Limit the Information that You Provide: You can choose not to provide the optional account information, profile information, and transaction and billing information when you are purchasing or renewing a license for a subscription to a Quagensia Desktop Application on our FastSpring store.
  • Opt Out of Marketing Communications: You may opt out of receiving promotional communications from us. Just follow the instructions in those communications or let us know. If you opt out of promotional communications, we may still send you other communications, like critical information regarding our Quagensia Desktop Applications, emails from our Support team, system emails, or legal notices.
  • Set Your Browser to Reject Cookies: At this time, Quagensia does not respond to “do not track” signals across all of our Services. However, you can usually choose to set your browser to remove or reject browser cookies before using Quagensia’s websites, with the drawback that certain features of Quagensia’s websites may not function properly without the aid of cookies.

Your Rights With Respect to Your Information

If you are located in certain countries, including those that fall under the scope of the European General Data Protection Regulation (a.k.a. the “GDPR”), data protection laws give you rights with respect to your personal data, subject to any exemptions provided by the law, including the rights to:

  • Right of Access. This includes your right to access the personal information we gather about you, and your right to obtain information about the sharing, storage, security and processing of that information.
  • Right to Correction. This is your right to request correction of your personal information.
  • Right to Erasure. This is your right to request, subject to certain limitations under applicable law, that your personal information be erased from our possession (also known as the “Right to be forgotten”).
  • Right to Complain. You have the right to make a complaint regarding our handling of your personal information with the appropriate supervisory authority.
  • Right to Restrict Processing. This is your right to request restriction of how and why your personal information is used or processed.
  • Right to Object. This is your right, in certain situations, to object to how or why your personal information is processed.

  • Right to not be subject to Automated Decision-Making. This is your right to object and prevent any decision that could have a legal, or similarly significant, effect on you from being made solely based on automated processes. This right is limited, however, if the decision is necessary for performance of any contract between you and us, is allowed by applicable European law, or is based on your explicit consent.

If you’ve ever purchased a license for a subscription to a Quagensia Desktop Application from our FastSpring store, many of these rights can be exercised by signing in to your FastSpring account and directly updating your FastSpring account information. Embedded Content from Other Websites

Web pages on our websites may use embedded content, such as embedded videos from YouTube.com. Embedded content from other websites such as YouTube.com behaves in a way that is similar to the way it would behave if the visitor had visited the other website. These websites may collect data about you, use cookies, embed additional third-party tracking, and monitor your interaction with that embedded content, including tracking your interaction with the embedded content if you have an account and are logged in to that website.

Third-Party Websites

The Services may include links to other websites. You should consult the respective privacy policies of these third-party websites. This Privacy Policy does not apply to, and we cannot control the activities of, such other websites.

Children

The Services are not directed at children under the age of 13. Consistent with the federal Children’s Online Privacy Protection Act of 1998 (COPPA), we will never knowingly request personal information from anyone under the age of 13. Our Terms of Service specifically prohibit anyone using our Services from submitting any personally identifiable information about persons under 18 years of age. Any person who provides their personal information to Quagensia through the Services represents that they are 18 years of age or older.

Processors We Use

As part of the services we provide, and only to the extent necessary, we may use certain third-party processors to process some or all of your personal information. For identification of these processors, and where they are located, please see our list of subprocessors below.

Subprocessors Located in the United States:

  • Liquid Web. Web host that hosts our websites.
  • MH Sub I, LLC dba vBulletin and dba Internet Brands. The company that hosts our support forums and provides the vBulletin software used by our support forums.
  • Gmail (From Google). Web email mainly for interacting with Google products, services, and platforms that require a Google account, such as YouTube.
  • reCAPTCHA (From Google). Protects us against automated robots, or “bots”, filling out our online forms.
  • YouTube (From Google). We may embed YouTube videos on our websites.
  • FastSpring. The company that hosts an online store where you can purchase licenses for subscriptions to Quagensia Desktop Applications.
  • wyDay. The company that provides the software licensing system used by all Quagensia Desktop Applications.
  • Microsoft’s Office 365 (From Microsoft). Cloud-based email, Microsoft Teams, and many other Cloud-based services that help us run our business and communicate internally within our company and externally to customers, partners, and all other people outside the company.
  • OOMA. VOIP phone service and fax service.
  • ActiveCampaign. Email marketing platform.

We Back Up and Also May Use Data from Some of the Above Third-Party Subprocessors Internally at Quagensia, Inc.

We back up and use data internally at Quagensia, Inc. from some of the subprocessors listed directly above in the “Processors We Use” section. Data that we do NOT back up and do NOT have access to or use internally at Quagensia, Inc. includes your full credit card number, credit card expiration data, and credit card CV2 code that you entered on our FastSpring online store. Not only do we not back up and do not have access to or internally use this credit card information internally at Quagensia, Inc., but no one at our company, including owners and employees, can even see this information in our FastSpring account.

Special Note to International Users

The Services are hosted in the United States. Please note that your personal data may be located on servers in the United States. By providing your personal data, you consent to the use of your personal data for the uses identified above in accordance with the Privacy Policy.

Controllers and Responsible Companies

Quagensia’s Services are offered and available worldwide. Quagensia, Inc. is the controller of personal information, which means Quagensia, Inc. is the company responsible for processing that information.

Other Things You Should Know

Transferring Information

Because our Services are offered worldwide, the information about you that we process when you use the Services in the EU may be used, stored, and/or accessed by individuals operating outside the European Economic Area (EEA) who work for us or third-party data processors. This is required for the purposes listed in the “How and Why We Use Information” section above. By using our websites, participating in any of our Services and/or providing us with your information, you consent to this transfer.

Ads and Analytics Services Provided by Others

Ads appearing on any of our Services may be delivered by third-party advertising networks and social media companies. Other parties may also provide analytics services via our Services. These ad networks, social media companies, and analytics providers may set tracking technologies (like cookies) to collect information about your use of our Services including across other websites and online services. These technologies allow these third parties to recognize your device to compile information about you or others who use your device. This information allows us and other companies to, among other things, analyze and track usage, determine the popularity of certain content, and deliver advertisements that may be more targeted to your interests. Please note this Privacy Policy only covers the collection of information by Quagensia and does not cover the collection of information by any third-party advertisers or analytics providers.

Privacy Policy Changes & Questions

Although most changes are likely to be minor, Quagensia may change its Privacy Policy from time to time. Quagensia encourages visitors to frequently check this page for any changes to its Privacy Policy. If we make significant changes, we will notify you by placing a prominent notice on our websites (such as adding a statement to our homepage or the Quagensia Blog), or by sending you a notification through email. Your further use of the Services after a change to our Privacy Policy will be subject to the updated policy.
